Companies with 11 to 49 employees: the obligation to share value, who is affected and which mechanisms to choose

According to fact sheet F2141 on service-public.gouv.fr, a company with at least 11 and fewer than 50 employees must choose a profit-sharing scheme if it has generated, for three consecutive fiscal years, a net taxable profit at least equal to 1/3 of its turnover. The same fact sheet indicates that sole proprietorships are not subject to this requirement. Two points are worded differently on other official pages: the legal structure and the basis for the threshold (see below).

Four options are possible: a participation agreement, an incentive agreement, a contribution to an employee savings plan, or a value sharing bonus.

This page deals with the scope of the obligation, the 1 % test, the four options and their 2026 amounts. It does not deal with the duration of the obligation and its end date, the penalties, the calculation of the workforce, the deadline for choice, nor the tax treatment of the value-sharing premium before 2027. On these points, the official pages consulted do not provide the same information or are silent.

Who is affected?

Three things need to be checked.

CriteriaWhat the official pages say
Effective«"at least 11 employees and fewer than 50 employees" (service-public.gouv.fr, fact sheet F2141)
Business structure«"Sole proprietorships are not subject to this requirement." Another official page (economie.gouv.fr, value-sharing bonus) states that the activity must be carried out under the legal form of a company.
Resulta net taxable profit at least equal to 1 % of turnover, for 3 consecutive financial years (form F2141)

The 2022, 2023 and 2024 exercises are taken into account to assess compliance with the condition (sheet F2141, verified on 21/07/2026).

The application date

According to fact sheet F2141, the obligation applies to fiscal years beginning on or after January 1, 2025. Two pages on economie.gouv.fr state it differently: "from the fiscal year following January 1, 2025" (overview of employee savings, March 20, 2026) and "since January 1, 2025" (profit-sharing bonus, April 28, 2026). This page does not definitively state which wording applies: the date applicable to your fiscal year should be verified with the source.

The basis of the threshold of 1 %

Fact sheet F2141 refers to turnover. The economie.gouv.fr page on the profit-sharing bonus refers to "revenue." This page doesn't definitively state which term is used. Have your accountant verify the applicable basis for your business.

Points not resolved by the official pages

  • The duration of the obligation. Fact sheet F2141 does not specify a duration for the obligation. The "five years" it mentions refers to a separate, experimental system for calculating participation. Other official documents refer to five years for the obligation itself, with different starting points. This document provides neither a duration nor an end date.
  • Sanctions for non-compliance: none of the pages read mention them.
  • The method for calculating the workforce and the deadline for choosing the scheme: form F2141 only indicates "for the following financial year".

The four options

According to form F2141, the company in question must, for the following financial year:

  1. to put in place a participation agreement; ;
  2. or put in place a profit-sharing agreement; ;
  3. or contribute to an employee savings plan; ;
  4. or pay a value-sharing bonus.

The choice is between one of these four devices. Each has its own mechanics and ceilings.

The amounts for 2026

Employer contribution to a group retirement savings plan€7,689.6 in 2026economie.gouv.fr (20/03/2026)

The value-sharing premium

The economie.gouv.fr website dated April 28, 2026, refers to a maximum exemption amount, not a cap on the bonus itself. This amount is €3,000 per beneficiary per calendar year. It can be increased to €6,000 provided the employer implements a profit-sharing scheme (when the company is subject to mandatory employee participation) or a profit-sharing or employee participation scheme (when it is not). This scheme must be in place on the date the bonus is paid or concluded for the same fiscal year.

For bonuses paid between January 1, 2024, and December 31, 2026, this page describes the exemption, subject to conditions regarding workforce size (fewer than 50 employees) and remuneration (less than three times the annual value of the minimum wage, over the twelve months preceding payment). These conditions are verified at the source before any payment is made.

The bonus cannot, under any circumstances, replace salary. A maximum of two bonuses may be awarded in the same calendar year, with a limit of one payment per quarter.

For bonuses paid from January 1, 2027, onwards, the economie.gouv.fr website indicates that the bonus will be exempt from social security contributions but subject to CSG-CRDS and income tax. The applicable tax regime before this date is not presented in the same way on all official websites (the F1225 fact sheet on service-public.gouv.fr states that the bonus is taxable, while the economie.gouv.fr website describes exemptions under certain conditions). This page does not provide a definitive answer: the tax regime applicable to your bonus should be verified before any payment is made.

Participation and incentives

Participation and profit-sharing are not based on the same calculation: see our dedicated pages.

For companies with fewer than 50 employees, fact sheet F2141 also presents an experimental method for calculating profit-sharing, using a formula that deviates from the legal formula. The fact sheet is worded inconsistently across sections: one refers to a formula "that may result in a lower figure," while another indicates that the calculated result must be equal to or greater than that of the legal formula. This page does not definitively resolve the issue: the applicable calculation should be verified with the source.

Profit-sharing agreements are filed on TéléAccords. Without filing, the company does not benefit from the exemptions related to profit-sharing.

Funds invested in a PEE or PEI are unavailable for five years (see fact sheet F2141). Funds invested in an employee savings plan, particularly in company securities, are subject to a risk of capital loss.

Social security contributions: what the pages say

Regarding profit-sharing and incentive plans, the page dated March 20, 2026, also mentions a reduced rate of 16% (%) under certain conditions for certain contributions to a PERCO or PERE (see page for terms). For the profit-sharing bonus, the page dated April 28, 2026, does not mention the social security contribution: situations not described above should be verified with the source.

The social security contribution on the employer's contribution is not included in this table; it should be verified on the official websites. The page dated March 20, 2026, does not cite the 2026 Social Security Financing Law on this point. The rate is verified on the date of payment.

Numerical example (fictitious profile)

Situation. A simplified joint-stock engineering company has 30 employees. Its fiscal year ends on December 31st. Its annual gross payroll, equivalent to the total gross salaries paid, is €1,500,000. Its revenue and net taxable profit are as follows (assumptions). For the bonus calculation, it is assumed that all 30 employees meet the compensation conditions described in the source and that a profit-sharing scheme is in place.

Issue. The manager wants to know if the obligation applies to his company, and what limits surround each of the possible choices.

Strategy. The firm applies the 1 % test to the three financial years under consideration, then calculates the maximum exemption amounts for the bonus and the collective profit-sharing cap. The choice of scheme is then discussed with the manager and their accountant.

Result.

ExerciseRevenueThreshold of 1 %Net taxable profitReportCondition
2022€3,200,000€32,000€41,0001.28%filled
2023€3,400,000€34,000€36,0001.06%filled
2024€3,600,000€36,000€52,0001.44%filled

The condition is met for all three exercises. If the 2023 profit had been €30,000, the ratio would be 0.88 %: the condition would not be met for this test.

The amounts that frame the options for this company:

OptionCalculationAmount
Value sharing premium, maximum basic exemption amount30 employees × €3,000€90,000
Value-sharing bonus, maximum exemption amount increased to €6,00030 employees × €6,000€180,000
Profit-sharing, collective ceiling20 % × 1,500,000 €€300,000
Profit-sharing, average per employee up to the collective limit€300,000 ÷ 30€10,000

The average of €10,000 per employee remains below the individual cap of €36,045 for 2026. These amounts are limits; they do not indicate what the company must pay. This profile is hypothetical: the figures illustrate the mechanism and do not predict any specific outcome for your company.

What changes depending on your situation

  • Your legal structure: company or sole proprietorship.
  • Your workforce, and how it is valued by your company.
  • Your result compared to the chosen base (turnover or revenue) over the three financial years taken into account.
  • The opening date of your financial year, in relation to the application date that you retain after verification at source.
  • The presence of a participation or incentive agreement already in place, which affects the maximum amount of exemption of the bonus.
  • The conditions of staffing and remuneration of the bonus, and its regime on the date of its payment, in particular from January 1, 2027.

This page does not indicate whether your company is subject to this requirement. This is determined by your accounts. No results are guaranteed.

Frequently asked questions

Is my company of 20 employees affected?

According to form F2141, it qualifies if, for three consecutive fiscal years, it has achieved a net taxable profit at least equal to 1 % of its turnover, and if it is not a sole proprietorship. This answer is subject to two points which are addressed differently on another official page: the legal form (company) and the basis for the threshold (turnover or revenue). This should be verified with your accountant.

Is it mandatory to implement participation?

No. Profit-sharing is one of four options: profit-sharing agreement, incentive agreement, employer matching contribution, or value-sharing bonus (fact sheet F2141). Profit-sharing is mandatory for companies with 50 or more employees, subject to specific conditions (see our page on the 50-employee threshold).

How long does the obligation last?

The official pages consulted do not agree. This page does not provide a duration. Verification is based on the most up-to-date texts.

Is there a social security contribution?

According to economie.gouv.fr, profit-sharing is exempt from social security contributions for companies with fewer than 50 employees, and incentive bonuses for companies with fewer than 250 employees. For the profit-sharing bonus, the page describes an exemption for companies with fewer than 50 employees (and employees earning less than three times the annual minimum wage), and a flat-rate social security contribution of 20% if the workforce is at least 250 employees. See the table above for the relevant pages.
