Tax-advantaged real estate investment trusts (SCPIs) and the Pinel scheme: what does the commitment to retain shares mean?

When you subscribe to SCPI (real estate investment trust) shares to benefit from the Pinel tax reduction, you commit to holding them. According to the BOFiP (Official Bulletin of Public Finances), the shareholder must keep their shares "until the expiry of the period covered by the rental commitment" undertaken by the company, i.e., six or nine years for the Pinel scheme. The tax administration's practical guide adds that the holding period can exceed nine years when the reduction is granted for the year of subscription. The AMF (French Financial Markets Authority) guide, however, mentions 9 to 13 years depending on the tax regime. Selling the shares before the end of the term will invalidate the tax reduction.

This page explains what this commitment entails. It does not provide the reduction rates, a detailed list of exceptions, extension rules, or the durations of other schemes (Malraux, Denormandie, property deficit). It also does not address the implications of subscriptions made after 2024.

What is the status of the Pinel scheme?

Economie.gouv.fr states that "the Pinel scheme is no longer in effect as of January 1, 2025" (page written on August 5, 2025). Another page on the same website (written on March 11, 2026) specifies that it "ended on December 31, 2024." The BOFiP (BOI-IR-RICI-360, version of August 22, 2024) applies to taxpayers who acquire SCPI units between January 1, 2013, and December 31, 2024.

The first page adds: "Some Pinel SCPIs remain open for subscription with specific advantages and constraints," notably a long commitment period, which it does not quantify. It does not state whether the tax reduction applies to new subscriptions. The sources consulted do not provide a definitive answer: before any subscription, the question must be submitted in writing to the management company and verified with the official source.

The conservation commitment: what the BOFiP says

The BOFiP (BOI-IR-RICI-360-20-10, § 70, version of 22/08/2024) concerns the shareholder of a SCPI. He "must commit to retaining his shares until the expiry of the period covered by the rental commitment" undertaken by the company: nine years for the Duflot, six or nine years for the Pinel.

The Pinel scheme itself has a minimum lease term of six or nine years, which can be chosen as an option (§ 3). The BOFiP (BOI-IR-RICI-360, § 10) specifies that the initial commitment can be extended for three-year periods. The implications of this extension for the retention of the shares are not addressed here.

The 2026 Income Tax Guide (p. 261) reiterates the principle: the shareholder "must commit to retaining all of their shares." It also states: "Once the tax reduction is granted for the year in which the subscription is made, the shareholder will be required to retain their shares beyond the nine-year period during which they benefit from the tax advantage." This passage appears in the section dedicated to the Duflot and Pinel schemes and does not specify which of the two schemes it refers to.

Three sources, three durations: how to read them

These three figures do not align, and the sources consulted do not allow them to be reconciled: the AMF guide covers several tax regimes and dates from 2019. For a given SCPI, the applicable duration depends on the rental commitment made by the company: it is included in its documentation.

What the subscription must comply with

The BOFiP (BOI-IR-RICI-360-10-20, version of 22/08/2024) sets out specific conditions for subscription:

  • 95 % of the proceeds from the subscription must be used "exclusively to finance a building eligible for the tax reduction" (§ 30). The BOFiP specifies that this threshold is assessed on the amount of the subscription less the collection costs; ;
  • the proceeds of the subscription must be "fully invested within eighteen months following the closing of the subscription" (§ 40); ;
  • the subscriptions concerned run from 1 January 2013 to 31 December 2024 (§ 50).

The basis for the reduction for SCPI units is 100 % of the amount of subscriptions made from 1 September 2014, up to a limit of €300,000 per taxpayer and per tax year, assessed on the cumulative basis of housing and subscriptions to SCPI units (BOI-IR-RICI-360, § 60).

If you sell your shares before the term

The brochure (p. 264) and the BOFiP (BOI-IR-RICI-360-40, version in force since 10/05/2019) include among the cases of reassessment the "transfer of securities during the shareholding commitment period." The BOFiP specifies that "the occurrence of an event resulting in the forfeiture of the tax reduction leads to a reassessment.".

For failure to comply with the conditions during the rental commitment period, the BOFiP (§ 50) stipulates that the income tax for the year of the event "is increased by the total amount of the tax reduction obtained," no later than December 31 of the third year following the year in which the event occurred. The BOFiP does not specify in this table which line applies to a sale of SCPI units before the term: the exact consequences for your specific case should be verified with the source.

This page does not detail possible exceptions: these are examined on a case-by-case basis, on your file.

Other tax-advantaged SCPIs

Economie.gouv.fr describes three other types of SCPIs: Malraux SCPIs ("they acquire and renovate properties located in protected areas"), Denormandie SCPIs (renovated older properties with a tax reduction), and SCPIs for property deficits (properties in poor condition requiring renovation). The page provides no figures for rates, ceilings, or holding periods for these schemes. Therefore, this page also provides no information on them.

What the AMF is reporting

The AMF (2023 document) states that residential SCPIs (real estate investment trusts) with tax advantages offer lower returns and are difficult to resell. Its 2019 guide mentions, in the section on reselling shares, "the non-transferability of the tax benefit." SCPI shares carry a risk of capital loss: economie.gouv.fr cites "the risk of capital loss upon resale.".

Tax-advantaged real estate investment trusts (REITs) and Pinel schemes: a numerical example (fictitious profile)

Situation. A 54-year-old investor subscribed to €100,000 worth of shares in a Pinel SCPI (real estate investment trust). Calculation assumptions: the subscription closed on December 31, 2022; the SCPI's lease commitment takes effect on March 1, 2024; full years are considered; and collection fees are ignored for the calculation of the 95 % (tax credit for investment purposes). The exact starting point of the commitment is not detailed in the consulted sources; it is an assumption for this example.

Issue. Knowing until what date he must hold his shares, and by what deadlines the SCPI must have invested.

Strategy. The SCPI documentation should specify the lease commitment period (6 or 9 years), the effective date, and the investment schedule. The firm will review this information with him.

Result.

This profile is fictitious. The calculation is arithmetic: it applies the stated durations to a hypothetical start date. It says nothing about the reduction itself, nor about the situation of a real SCPI (real estate investment trust).

Tax-advantaged SCPIs and Pinel schemes: what changes depending on your situation

  • The duration of the SCPI's rental commitment (6 or 9 years) and its effective date.
  • The year of your subscription, with regard to the period from January 1, 2013 to December 31, 2024.
  • An event before the term (a transfer for example): possible exceptions are not dealt with here.
  • The possible extension of the commitment.

The rule depends on your situation. No results are guaranteed.

Frequently asked questions

How long should you hold shares in a Pinel SCPI?

Until the expiry of the rental commitment undertaken by the company: six or nine years for the Pinel scheme (BOI-IR-RICI-360-20-10, § 70). The tax administration's brochure indicates that the holding period can exceed nine years when the tax reduction is granted for the year of subscription.

What happens if I sell beforehand?

Transferring ownership during the holding period is grounds for reassessment (brochure p. 264; BOI-IR-RICI-360-40). The exact consequences and any potential exceptions should be verified in your file and with the source.

Does the Pinel scheme still exist?

According to economie.gouv.fr, it ended on December 31, 2024. The BOFiP refers to shares acquired up to that date.

The AMF mentions 9 to 13 years: which one should be chosen?

The AMF guide dates from June 2019 and applies to tax-advantaged SCPIs (real estate investment trusts) according to their tax regimes, starting from the date the lease is signed. For a given SCPI, the applicable term is that of the company's lease commitment.

Do Malraux and Denormandie SCPIs have the same duration?

The pages consulted do not provide a retention period for these devices: the question is verified in the SCPI documentation.
