Free shares: taxation according to the date of the shareholders' meeting decision

The tax treatment of a free share grant depends on the date the extraordinary general meeting (EGM) authorized the grant. The acquisition gain, which is the value of the shares at the end of the vesting period, is taxed only upon the sale of the shares, starting from the first euro sold. For an EGM held after December 31, 2017, the portion of the gain up to €300,000 per year benefits from a 50% allowance. The portion exceeding this amount is taxed at the standard rate without any allowance and is subject to a 10% employee contribution. For SME executives retiring, a fixed allowance of €500,000 remains possible according to impots.gouv.fr; its conditions are not detailed here.

This page deals with acquisition gains and capital gains on disposal. It does not cover tax return box numbers, the calculation of income tax according to the 2026 tax scale, withholding tax for non-residents, or stock options. It does not publish any social security contribution rates, for the reason explained below.

Free shares in brief

According to the French government's public service website, a company can decide to allocate its own shares to its employees free of charge. During the vesting period, the beneficiary only has a claim right: no voting rights, no dividends, and these rights are non-transferable (BOFiP).

The minimum durations also depend on the date of the AGE:

Date of the AGMAcquisition periodConservation
Before August 8, 2015at least 2 yearsThe BOFiP sets out specific rules for this period, which can be found in the text.
After August 7, 2015at least 1 yearThe AGM is not required to provide for this; cumulative acquisition and holding period: minimum 2 years

Service-public indicates the same rule for the current period: the sum of the two periods cannot be less than 2 years.

When is the gain taxed?

The BOFiP (French Official Tax Bulletin) states that "the event triggering taxation of the benefit is the disposition" of the securities, for example, their sale. The tax year is that of the sale, not that of the final acquisition. The gain is taxable from the first euro of the sale.

Two gains should be distinguished:

  • The acquisition gain : the value of the shares at the end of the vesting period. Its rules depend on the date of the EGM.
  • Capital gain on sale The difference between the sale price and the acquisition value. According to the BOFiP (French Official Tax Bulletin), it is taxed at a flat rate of 12.8% (%) or, optionally, according to the progressive tax scale. The BOFiP does not differentiate between these tax regimes based on the date of the Extraordinary General Meeting.

A capital loss on disposal is deducted from the corresponding acquisition gain, up to the limit of that amount, before any allowances.

Three points of clarification regarding this painting:

  • Front line. This period is defined by the share grant date: the BOFiP (French Official Tax Bulletin) covers grants from January 1, 2005 to September 27, 2012, while the impots.gouv.fr website covers grants up to September 27, 2012. For subsequent lines, the column is read by the date of the Extraordinary General Meeting (EGM). Check which of your dates applies to your plan.
  • Third line abatements. According to the impots.gouv.fr website, the table indicates "Holding between 2 and 8 years: 50% tax allowance" and "Holding > 8 years: 65% tax allowance." The fixed SME tax allowance is aimed at SME managers who are retiring, up to €500,000; the impots.gouv.fr website indicates that it remains available after 2017. Its conditions and validity period are not detailed here: they can be found in the BOFiP (Official Bulletin of Public Finances).
  • Border as of the end of 2016. The official texts do not all place the boundary on the same date: the BOFiP (Official Bulletin of Public Finances) sometimes refers to December 30th, sometimes to December 31st, 2016. The table does not provide a definitive answer. If your Extraordinary General Meeting's decision dates from those days, the rule should be found in the official source.

The salary contribution of 10 %

The BOFiP (Official Bulletin of Public Finances) sets its rate at 10%. It applies, in principle, to free shares granted since October 16, 2007. It does not apply to Extraordinary General Meetings (EGMs) held between August 8, 2015, and December 30, 2016. From December 31, 2016, only the portion of the gain not exceeding €300,000 per year is exempt. The amount concerned must be declared in the specific box of the supplementary tax return form 2042 C, and the contribution is not deductible from taxable income.

Social security contributions: why are there no rates here?

The table only indicates the nature of the income, whether assets or business activity, as defined by the BOFiP (French Official Tax Bulletin). The rates are not published here, for editorial reasons: social security contribution rates change, and those for capital income changed in 2026. The BOFiP notes that Article 12 of the law of December 30, 2025, increases the CSG (General Social Contribution) rate on investment income, without specifying the amount. The rate applicable to your gain can be found on the impots.gouv.fr page dedicated to free shares.

What changes depending on your situation

  • The date of the AGM. It fixes the row in the table. It appears in the allocation plan.
  • The level of profit in one year. Below €300,000, the 50 % allowance applies to the whole amount; above that, the excess portion is taxed without allowance.
  • The schedule of transfers. The year of transfer determines the tax year, and the €300,000 threshold is annual.
  • Your tax residence. The BOFiP (French Official Tax Bulletin) treats the acquisition gain as employment income, taxable in the country or countries where the paid activity was carried out, subject to the applicable tax treaty. The residence used for tax purposes is that of the beneficiary on the date the taxable event occurs, i.e., the date of the transfer for allocations falling under Article L. 225-197-1 of the French Commercial Code.
  • Reporting obligations. The company provides the beneficiary with an individual statement no later than March 1st of the year following the final acquisition. The beneficiary keeps this statement and presents it upon request. This point comes from a BOFiP (Official Bulletin of Public Finances) dated 2016.

The employer's shares are equity securities: their value can fall between grant and sale, potentially resulting in a capital loss. No results are guaranteed.

Numerical example (fictitious profile)

Situation. Camille, 45, sales director of a privately held company, received 1,000 free shares at an Extraordinary General Meeting held after December 31, 2017. Upon final acquisition, each share is worth €400. The acquisition gain is €400,000. Camille has no other entitlements and is not eligible for the fixed €500,000 allowance reserved for SME executives retiring.

Issue. If she sells everything in the same year, the portion of €100,000 above €300,000 is taxed without deduction and is subject to the employee contribution of 10 %.

Strategy. Camille compares two timelines: selling all 1,000 shares in the same year, or 500 shares each year for two years. Assumptions: the gain is distributed proportionally to the shares sold, the acquisition value (€400 per share) is the same in both timelines, and the €300,000 threshold is assessed year by year. This distribution is an assumption of the example, not a published rule. The example does not calculate income tax according to the 2026 tax brackets, which we were unable to access, nor social security contributions.

Result.

Just one yearTwo years (€200,000 each)
Fraction up to €300,000€300,000€200,000 per year
Fraction exceeding €300,000€100,000€0
Taxable base after a 50% allowance %€250,000€200,000 in total (€100,000 per year)
Salary contribution of 10 %€10,000€0

Based on these assumptions, the taxable base decreases from €250,000 to €200,000, and the employee contribution drops from €10,000 to €0. This profile is hypothetical. The example illustrates the annual threshold mechanism; it does not reflect your specific situation and does not take into account the sale price of the securities or any potential capital gains.

Frequently asked questions

When is the gain from acquiring free shares taxed?

Upon disposal of the securities, the year of disposal applies, starting from the first euro disposed of. The year of final acquisition is not the tax year (BOFiP, BOI-RSA-ES-20-20-20).

What does the €300,000 threshold represent?

This is an annual limit applicable from the end of December 2016 (December 30 or 31, 2016, depending on the legislation). Up to this amount, the acquisition gain is subject to the favorable tax regime applicable to its period; beyond this amount, the excess portion is taxed at the standard rate without any reduction and is subject to employee contributions.

Does the 10 % salary contribution apply to all allocations?

In principle, it concerns free shares awarded since October 16, 2007. It does not apply to EGMs from August 8, 2015 to December 30, 2016 (BOFiP, BOI-RSA-ES-20-30).

How is the capital gain realized after the final acquisition taxed?

At the flat rate of 12.8% (%) or, by option, according to the progressive scale (BOFiP, BOI-RSA-ES-20-20-20). The BOFiP does not differentiate this scheme according to the date of the AGE.
